Constitution and Bylaws

 

ARTICLE I- The Organization

A.  The name of this organization shall be the Dawson High School Band Booster Club, Inc. The purpose of this organization is to further the best interest of the DAWSON HIGH SCHOOL INSTRUMENTAL DEPARTMENT, by assisting the Directors of Instrumental Music in every way possible to achieve the objective of the Department.

 

ARTICLE II – Qualification of Membership

A.     The following shall and will be included in the regular membership:

1.   Parents or guardians of DAWSON HIGH SCHOOL INSTRUMENTAL MUSIC students.

2.   The staff of the INSTRUMENTAL MUSIC DEPARTMENT.

3.   Any persons interested in assisting the DAWSON HIGH SCHOOL INSTRUMENTAL MUSIC DEPARTMENT.

  

ARTICLE III – Officers

A. The elected officers of this organization shall be:

1. President (s)

2. Vice-President (s)

3. Secretary (s)

4. Treasurer

B.  The Board of Directors shall consist of the elected officers and a member of the Instrumental Music Staff.

 

ARTICLE IV – Meetings

A.  The regular meetings of this organization shall be held three (3) times a year at the call of the President.  The first general meeting shall be held subsequent to the freshman parent orientation meeting – usually held in August.

B.   Awards shall be presented at the annual Band Banquet in the spring.

C.   Special meetings may be called by the Board of Directors.

D.   The Board of Directors shall meet, as a minimum, every other month, starting in August.

 

ARTICLE V – Duties of Officers

A.     President

1.   Shall preside at all meetings of the Board of Directors and at the general and special meeting.

2.   Shall have the power to appoint committees as required.

3.   Shall act as ex-officio member of all meetings.

4.   With the concurrence of the Board of Directors, shall have the power to decide cases of emergency, when an immediate decision is necessary.

B.     Vice-President

1.   Shall assist the President in all matters as required.

2.   In the absence of the President, the Vice-President shall assume the responsibilities of the chair.

C.     Secretary

1.   Shall keep an accurate record of all proceedings of the Club.

2.   Shall handle all correspondence as necessary.

3.   Shall send out notice of all meetings.

D.    Treasurer

1.   It shall be the duty of all members to deposit with the Treasurer the gross amount of all monies received on behalf of the Club or from any of its activities and the Treasurer shall accept and record all funds received.

2.   Shall disburse funds as directed and approved by the Board of Directors. Check will require signatures of any two of the following: President, Secretary and/or Treasurer.

3.   Shall submit a report of funds at regular meetings.

4.   Shall present books for audit to a committee appointed by the Board of Directors, prior to the Election of officers.

E.     Board of Directors

1.   The Board of Directors shall conduct such business as necessary to implement and expedite all actions called for by vote for the membership of the Club provided such actions will not interfere with the Music Education Policies of the Pearland School District.

2.   Chairmen of those committees which are currently engaged in an active program are requested to attend meetings of the Board of Directors.

3.   Meetings of the Board of Directors shall be open to all members of the Club.

4.   No person shall assume an obligation or commit the organization to any future expenditure or engage in any fund raising effort on behalf of or in the name of the Club, without prior approval of the Board of Directors.

5.   In case of a vacancy occurring on the Board of Directors, with the exception of the Presidency, the remaining members of the Board of Directors shall be empowered to fill the vacancy.

 

ARTICLE VI – Nominations of Officers

A.  The President shall appoint a nominating committee of at least three regular members prior to the August general meeting.

B.  The nominating committee shall present its report at the August general meeting.

C.  Nominations may be made from the floor.

 

ARTICLE VII – Election of Officers

A.  Election of officers shall be held annually at the August general meeting.

B.  The term of office shall be for twelve months, beginning with the August general meeting or until a duly qualified successor assumes the office.

C.  Elections shall be by simple majority of show of hands or voice vote.

D.  The consent of each candidate must be obtained before his or her name is placed in nomination.

 

ARTICLE VIII – Committees

A.  Committees shall be called by the President.

 

ARTICLE IX – Dues

A.  There shall be no dues, so that all parents or guardians may take an active part.

 

ARTICLE X – Quorum

A.  Regular or Special Meeting – Not less than 15 of the regular membership, in addition to the Board of Directors, shall constitute a quorum.

B.  Board of Directors – The representative from the Instrumental Music Department and two other members of the Board of Directors shall constitute a quorum.

 

ARTICLE XI – Activities

All activities of the Club will be within the rules and regulations of the University of Interscholastic League and the policies of the Pearland Independent School District.
